Terms of Service
Last updated 26 October 2026
These Terms of Service govern the use of the MetaSTO Group Limited website and the dispatch services that we provide from our office at 2203A 22/F Wu Chung House, 213 Queens Road East, Wanchai, Hong Kong (HK). Please read them carefully before you submit a job, book a route planning session or use any part of this site. By using the site or engaging our services, you agree to these terms. If you do not agree, please do not use the site or the services.
1. About These Terms
These Terms of Service form a binding agreement between you and MetaSTO Group Limited. They apply to every visit to this website and to every dispatch engagement that we accept, unless a separate signed contract says otherwise for that engagement. Where a signed contract and these terms conflict, the signed contract governs the specific engagement and these terms continue to apply to everything else.
We are a computer systems design company that operates a dispatch bay for courier operations. Our work supports same day runs, route planning, proof of delivery handling, fleet check ins, customs handovers and depot load reviews. These terms are written to match that work and to keep expectations clear on both sides of the dispatch desk.
2. Definitions
In these terms, the following words have the meanings given below.
- The Company means MetaSTO Group Limited.
- You or the Client means the person or organisation using the website or engaging the services.
- The Services means the dispatch bay services described on the services page and any related design or advisory work.
- A Run means a single pickup and delivery job accepted by the bay.
- A Ticket means the record that describes a Run, including its destination, handling note and signature line.
- A Proof means the signed record that confirms a Run was completed.
- The Site means the website at metasto.lol and any page served from it.
- Business Hours means the opening hours published on the contact page, as updated from time to time.
3. Eligibility and Authority
You may use the site as a visitor without any special authorisation. To engage the services, you must be at least eighteen years old and have the legal capacity to enter a contract. If you act for an organisation, you confirm that you have the authority to bind that organisation to these terms.
We may ask for reasonable evidence of identity or authority before we accept a first run or share a dispatch record. This is a security measure, and a refusal to provide the evidence may lead us to decline or pause an engagement.
4. The Dispatch Services
The Company provides six dispatch services. They are the Same-Day Run Desk, Route Planning Sessions, Proof-of-Delivery Audits, Fleet Check-In Evenings, Customs Handover Days and Depot Load Reviews. The services page describes the scope of each. These terms apply to all six, and a client may engage one service or a combination.
We prepare the bay, the board and the records that support each service. We do not own the parcels and we do not act as the seller of the goods being moved. Unless a separate contract says otherwise, physical carriage is performed by a courier partner, and the Company provides the dispatch, planning, audit and record keeping that surround the carriage.
Service descriptions on the site are an outline. The precise scope for an engagement is confirmed in a written booking or a service schedule. If a description on the site and a confirmed booking differ, the confirmed booking governs the engagement.
5. Booking and Confirmation
A request sent through the contact form, by email or by telephone is an invitation to book, not a confirmed run. A run is confirmed only when the bay issues a Ticket with a run reference and a pickup window. Until that point, no carriage obligation exists on either side.
When we confirm a run, we rely on the details you provide. Please check the destination, the pickup window, the contact name and the handling note before you approve the Ticket. A correction after a driver has departed may cause a delay and may attract an additional charge.
For a route planning session, a fleet check in programme or a depot load review, confirmation takes the form of a written schedule that names the dates, the participants and the deliverable. The schedule is part of the contract for that engagement.
6. Client Responsibilities
You agree to provide accurate details for every run and to keep them current. You agree to make sure that a parcel is packed for the journey it will make, that it is labelled correctly and that the recipient is expecting it where possible. A parcel that is loose, leaking or badly labelled may be refused at the dock for safety reasons.
You agree to have a named person available to sign a Proof within the delivery window, or to give clear instructions for an alternative handover. Where a building requires access clearance, you agree to arrange it before the driver arrives.
You agree to pay the fees set out in the booking, to respond to a reasonable query from the bay and to tell us promptly about a change that affects a run. If a delay or a loss is caused by a failure on your side, the Company is not responsible for that failure.
7. Prohibited Items and Uses
We do not accept a run that involves an unlawful item or an item that a carrier is not permitted to move. This includes illegal drugs, unlicensed weapons, live animals unless a specialist service is confirmed, hazardous materials outside an approved channel and any goods that breach customs rules.
You must not use the services to move counterfeit goods, stolen property or items that infringe the rights of another person. You must not present a parcel in a way that conceals its true nature from a carrier or a customs officer.
The bay may inspect, refuse or hold a parcel where it has a reasonable suspicion that these rules are being broken. Where the law requires, we will report the matter to the relevant authority. A refused parcel may still attract the agreed fee where the bay has already committed resources to the run.
8. Proof of Delivery
A Proof is the record that closes a run. It may take the form of a signature, a timestamp, a location note or a combination of these. The Proof is evidence that the handover took place at the named place and time, and it is the basis on which the bay reconciles the run.
Where a recipient cannot sign, the driver may record an alternative handover only if the Ticket allows it. An alternative handover must be described in the record so that the client can see what happened.
Our audits reconcile a Proof against its Ticket. A clean audit does not create a new obligation; it confirms that the record is complete. If an audit finds a gap, we will tell the client and agree the follow up step. A Proof that is not disputed within the period set out in the booking is treated as accepted.
9. Fees and Payment
The fee for a run or a service is set out in the booking or in a service schedule. Unless a separate agreement applies, fees are quoted in the currency shown on the booking and are exclusive of any tax that the law requires to be added.
Payment is due within the period stated on the invoice. We may suspend a new run while an invoice remains unpaid beyond its due date, after giving the client a written reminder. We do not apply a hidden charge, and any additional charge for a waiting time, a change of address or a failed handover is described in the booking before the work starts.
If a client disputes an invoice, the client should tell us in writing within the period stated on the invoice. We will review the dispute and respond. A dispute about one line does not remove the obligation to pay the undisputed part of the invoice.
10. Cancellation and Changes
A run may be cancelled before the driver departs without charge, unless the booking says otherwise. A cancellation after departure may attract the agreed fee for the distance already covered, and a cancellation after a handover has taken place is treated as a completed run.
A change to a destination, a pickup window or a handling note should be requested as early as possible. The bay will confirm whether the change can be met within the existing plan or whether it requires a new Ticket. A change that adds distance or time may attract an additional charge.
A route planning session or a depot load review may be rescheduled with reasonable notice. If a client cancels a scheduled session with short notice and the bay has already prepared materials, a preparation fee may apply as stated in the schedule.
11. Delays and Force Majeure
We plan a run to meet its window, but a city does not always cooperate. Traffic, a blocked road, severe weather, a security incident, a customs hold or an unforeseen access problem can delay a handover. When a delay is likely, the bay will tell the client as soon as it knows and will offer an adjusted plan where one is possible.
Neither party is liable for a failure to perform that is caused by an event beyond reasonable control, provided the affected party acts promptly to reduce the impact. This includes natural disasters, public health measures, industrial action, a failure of a public network and a binding order of a public authority.
Where a force majeure event continues for an extended period, either party may end the affected engagement in writing. Fees for work already performed remain payable.
12. Limitation of Liability
To the fullest extent permitted by law, the Company is not liable for indirect or consequential loss, loss of profit, loss of goodwill or loss of anticipated savings arising from the services. Our total liability for a run is limited to the fee paid for that run, unless a separate contract sets a different cap.
We do not exclude liability that cannot be excluded by law, including liability for death or personal injury caused by negligence and liability for fraud. Where a law implies a term that cannot be excluded, these terms do not affect that term.
A client should insure high value goods through its own policy. The bay can advise on packaging and handling, but it does not act as an insurer. A claim for loss or damage must be reported promptly, with the run reference and any supporting record, so that the matter can be investigated while the evidence is fresh.
13. Indemnity
You agree to indemnify the Company against a claim, loss or expense that arises from your breach of these terms, from an unlawful item that you present for carriage, or from a failure to obtain the consent needed to share a recipient detail with the bay. The indemnity applies only to the extent that the loss is caused by your conduct.
The Company will tell you promptly about a claim that may fall within this indemnity and will allow you a reasonable opportunity to participate in the response. We will not settle a claim in a way that admits your fault without your agreement.
14. Intellectual Property
The site, the bay designs, the board layouts and the written materials we provide are owned by MetaSTO Group Limited or used under a licence. You may view the site and use the materials for a dispatch engagement, but you may not copy, resell or republish them without written permission.
A client retains ownership of the data it provides and of the records that relate to its own runs. Where we design a route model or a board layout for a client, the licence terms are set out in the service schedule. Unless the schedule says otherwise, we retain ownership of the underlying design method.
The name MetaSTO and the name MetaSTO Group Limited are used by the Company, and no licence to use them is granted by these terms.
15. Confidentiality
Each party agrees to keep the confidential information of the other party private. Confidential information includes a manifest, a client list, a route model, a pricing schedule and any record that is not public. It does not include information that is already public or that a party receives from a third party without a duty of confidence.
A party may disclose confidential information where the law requires, provided it gives the other party notice where that is lawful. The duty of confidence continues after an engagement ends.
16. Privacy and Data
Our Privacy Policy explains how we collect and use personal data. It forms part of these terms, and a client engagement is subject to it. When we process personal data for a client, we do so under the client instruction and we apply the safeguards described in the privacy policy.
A client is responsible for giving the appropriate notice to its own customers before sharing their details with the bay. Where a recipient detail is shared for a run, the client confirms that it is entitled to share it.
17. Acceptable Website Use
You agree to use the site for lawful purposes only. You must not attempt to gain unauthorised access to the site or to a system that supports it, you must not introduce malicious code and you must not interfere with the normal operation of the site.
You must not scrape the site in a way that places an unreasonable load on our servers, and you must not misrepresent your identity when you send a message through the contact form.
We may block access where we have a reasonable belief that the site is being misused or that a security risk has arisen. We will restore access when the matter is resolved.
18. Suspension and Termination
We may suspend a service where a client has not paid an invoice, where a safety or legal concern has arisen, or where a client has breached these terms in a serious way. Where it is reasonable to do so, we will give notice and an opportunity to fix the issue.
Either party may end an engagement in writing with the notice period stated in the booking. On termination, the client pays for work already performed, and the Company provides the records that belong to the client in a usable form.
Clauses that by their nature survive termination, including those on confidentiality, intellectual property, limitation of liability and governing law, continue to apply after an engagement ends.
19. Disputes and Governing Law
We prefer to resolve a dispute by talking. If a concern arises, please raise it with the dispatch team first, with the run reference and any supporting record. We will review the matter and reply in writing.
If a dispute cannot be resolved by discussion, it is governed by the laws of Hong Kong (HK), and the courts of Hong Kong have exclusive jurisdiction, unless a separate contract names another forum. Before starting a formal process, both parties agree to attempt a good faith resolution for a reasonable period.
20. Changes to These Terms
We may update these terms to reflect a change in our services or in the law. The date at the top of the page shows the most recent revision. A material change will be announced on the site and, where we hold a contact address, by a short message to the client.
A change does not apply retroactively to a confirmed run. The terms that applied when a Ticket was issued govern that run. Continued use of the site after a change means that you accept the updated terms for future use.
21. Contact Details
If you have a question about these terms, a booking or an invoice, please contact the Company using the details below. A member of the dispatch team will read your message and route it to the right person.
